TERMS OF SERVICE

YAK Productions LLC

Welcome to YAK Productions LLC (“YAK Productions,” “YAK,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, services, products, and any agreements between you and YAK Productions LLC.

By purchasing, booking, accessing, or using any services provided by YAK Productions LLC, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. SERVICES

YAK Productions LLC provides professional creative and digital services, which may include, but are not limited to:

  • Photography

  • Videography

  • Event coverage

  • Real estate photography and videography

  • Special occasion coverage

  • Video editing

  • Photo editing

  • Website design and development

  • Social media management

  • Social media marketing

  • Content creation

  • Brand photography and promotional content

  • Studio services

  • Consulting and creative services

  • Educational and editing services

  • Other services described in an applicable proposal, invoice, package, booking page, or service agreement

The specific services, deliverables, timelines, pricing, and limitations applicable to a Client will be determined by the applicable package, proposal, invoice, booking confirmation, or separate written agreement.

2. CLIENT AGREEMENT

By booking or purchasing services from YAK Productions LLC, the Client acknowledges that they have reviewed and agreed to these Terms.

If a separate written agreement, proposal, or service contract is signed between YAK Productions LLC and the Client, that agreement will govern where it specifically conflicts with these Terms.

3. BOOKINGS AND RESERVATIONS

A service date or appointment is not considered fully reserved until YAK Productions LLC has received any required deposit, retainer, or payment specified at the time of booking.

YAK Productions LLC reserves the right to decline or cancel a booking at its discretion when permitted by law.

Clients are responsible for providing accurate contact information, event information, addresses, dates, times, and other information necessary for YAK Productions LLC to perform the requested services.

4. PAYMENTS

Payment requirements will be communicated to the Client before or at the time of booking.

Depending on the service, payment may be required in the form of:

  • A non-refundable retainer or deposit;

  • Full payment in advance;

  • Scheduled installments;

  • Monthly subscription payments; or

  • Payment upon completion.

Unless otherwise agreed in writing, all invoices must be paid by their stated due date.

YAK Productions LLC reserves the right to pause work, withhold deliverables, or cancel services when an account is past due.

5. RETAINERS AND DEPOSITS

Unless otherwise stated in writing, retainers and deposits paid to secure a service date are non-refundable.

A retainer compensates YAK Productions LLC for reserving the Client's date and declining other potential work for that period.

Payment of a retainer does not guarantee that additional services, revisions, overtime, travel, or other expenses are included unless specifically stated in the applicable package or agreement.

6. CANCELLATIONS AND RESCHEDULING

Clients should provide notice as soon as possible when they need to cancel or reschedule a service.

Rescheduling is subject to YAK Productions LLC's availability.

YAK Productions LLC may establish different cancellation or rescheduling policies for specific services, events, subscriptions, or packages. Those policies will apply when provided to the Client in writing.

If a Client cancels after services have begun, the Client remains responsible for payment for work already performed and any non-refundable expenses incurred by YAK Productions LLC.

7. CLIENT DELAYS

Clients are responsible for arriving on time and being prepared for scheduled services.

For photography, videography, studio sessions, consultations, and other time-sensitive services, delays caused by the Client may reduce the amount of time available for the service.

Unless otherwise agreed in writing, Client-caused delays do not automatically extend the scheduled service period.

Additional time may be billed at YAK Productions LLC's applicable overtime rate.

8. EVENT SERVICES

For events, the Client is responsible for providing accurate event schedules, locations, access instructions, parking information, venue restrictions, and other information reasonably necessary to perform the services.

YAK Productions LLC will make reasonable efforts to capture requested moments, people, details, and activities. However, YAK Productions LLC cannot guarantee that every specific person, moment, image, or video requested by the Client will be captured.

YAK Productions LLC is not responsible for missed coverage caused by circumstances outside its reasonable control, including venue restrictions, guest interference, weather, schedule changes, delays, equipment restrictions, or other unforeseen circumstances.

9. DELIVERABLES

Deliverables will depend on the package or service purchased.

Examples may include:

  • Edited photographs;

  • Edited video;

  • Social media content;

  • Website pages;

  • Graphic assets;

  • Marketing materials;

  • Digital files;

  • Other creative deliverables.

Unless otherwise specified, YAK Productions LLC determines the standard editing style, file format, resolution, and delivery method.

Raw or unedited photographs, video footage, project files, source files, editing timelines, and working files are not included unless specifically purchased or agreed upon in writing.

10. EDITING AND CREATIVE STYLE

The Client acknowledges that photography, videography, design, editing, and other creative services involve artistic judgment.

YAK Productions LLC will use reasonable professional judgment when creating the final deliverables.

Differences in personal taste, artistic preference, color grading, editing style, composition, or creative direction do not necessarily constitute a defect in the services.

11. REVISIONS

If revisions are included in a Client's package, the number of included revisions will be specified in the applicable package or agreement.

Additional revisions may be subject to additional fees.

A revision request must be reasonably specific and submitted within the applicable revision period.

Major changes to the original scope of work may be treated as a new project or additional service.

12. WEBSITE SERVICES

For website design and development services, YAK Productions LLC will provide the pages, features, functionality, and services specified in the Client's selected package.

Unless expressly included, the following may constitute additional services:

  • Additional website pages;

  • Custom coding;

  • Advanced functionality;

  • E-commerce functionality;

  • Third-party integrations;

  • Domain registration;

  • Hosting fees;

  • Premium software or plugins;

  • Stock photography or video;

  • Copywriting;

  • Ongoing website maintenance.

The Client is responsible for providing accurate business information, photographs, logos, written content, credentials, and other materials necessary to complete the website.

13. SOCIAL MEDIA AND MARKETING SERVICES

For social media management or marketing services, YAK Productions LLC may assist with content creation, scheduling, strategy, posting, analytics, advertising, and related activities as specified in the applicable package.

YAK Productions LLC does not guarantee specific follower counts, engagement levels, leads, sales, revenue, search rankings, advertising performance, or other financial outcomes.

Social media platforms and advertising networks are operated by third parties and may change their algorithms, policies, features, availability, or advertising costs without notice.

14. CLIENT-PROVIDED MATERIALS

The Client represents that they have the necessary rights and permissions to provide YAK Productions LLC with any photographs, videos, logos, music, trademarks, written materials, personal information, or other content supplied for use in a project.

The Client agrees not to provide materials that infringe upon the rights of another person or business.

The Client is responsible for obtaining necessary permissions, releases, licenses, and consents for materials they provide.

15. INTELLECTUAL PROPERTY

Unless otherwise stated in writing, YAK Productions LLC retains ownership of its original creative work, including applicable photographs, videos, designs, graphics, templates, editing systems, project files, concepts, processes, and other intellectual property.

Upon full payment, the Client receives the usage rights specifically granted in the applicable package or agreement.

Payment for a service does not automatically transfer ownership of YAK Productions LLC's intellectual property.

16. CLIENT USAGE RIGHTS

Unless otherwise stated in writing, Clients may use completed final deliverables for their own personal or business purposes consistent with the service purchased.

The Client may not resell, sublicense, distribute, substantially modify, or claim ownership of YAK Productions LLC's work beyond the rights granted by the applicable agreement.

Commercial licensing, resale rights, exclusive rights, and ownership transfers may be available for an additional fee when agreed upon in writing.

17. RAW FILES AND SOURCE MATERIAL

Raw photographs, raw video footage, project files, editing timelines, design source files, website source code, presets, templates, and other production materials are not automatically included with a service.

If such materials are purchased separately, the applicable agreement will specify the files and rights being transferred.

18. PORTFOLIO AND PROMOTIONAL USE

Unless the Client has requested otherwise in writing before the project begins, YAK Productions LLC may use completed work created for the Client for:

  • Portfolio purposes;

  • Website displays;

  • Social media;

  • Advertising;

  • Marketing;

  • Promotional materials;

  • Demonstrations of services.

If a Client requires confidentiality or prohibits promotional use, the Client should request a written confidentiality or usage restriction agreement.

19. CONFIDENTIALITY

YAK Productions LLC will make reasonable efforts to protect confidential business information provided by Clients.

Confidential information does not include information that:

  • Is publicly available;

  • Was already known to YAK Productions LLC;

  • Becomes publicly available through no fault of YAK Productions LLC;

  • Is independently developed; or

  • Must be disclosed by law or legal process.

A separate Non-Disclosure Agreement (“NDA”) may be used when additional confidentiality protections are required.

20. THIRD-PARTY SERVICES

YAK Productions LLC may use third-party platforms, software, hosting providers, payment processors, social media platforms, cloud storage services, website platforms, or other technology providers to perform services.

YAK Productions LLC is not responsible for outages, policy changes, account suspensions, technical failures, data loss, or other issues caused by third-party providers.

21. EQUIPMENT FAILURE

YAK Productions LLC uses reasonable professional practices to protect and preserve Client content.

However, technical equipment can fail unexpectedly.

In the event of equipment failure, data corruption, accidental loss, or another technical issue beyond YAK Productions LLC's reasonable control, YAK Productions LLC will make reasonable efforts to recover or recreate affected work when possible.

To the extent permitted by law, YAK Productions LLC will not be liable for losses resulting from circumstances outside its reasonable control.

22. FORCE MAJEURE

YAK Productions LLC will not be considered in breach of these Terms when performance is prevented or substantially delayed by circumstances beyond its reasonable control.

Examples may include:

  • Natural disasters;

  • Severe weather;

  • Fire;

  • Flood;

  • Government restrictions;

  • Power outages;

  • Internet or telecommunications failures;

  • Serious equipment failure;

  • Illness or emergency;

  • Acts of terrorism or civil unrest;

  • Labor disputes; or

  • Other unforeseeable circumstances.

When reasonably possible, YAK Productions LLC will work with the Client to reschedule affected services.

23. CLIENT RESPONSIBILITIES

The Client agrees to:

  • Provide accurate information;

  • Provide timely feedback;

  • Supply necessary materials;

  • Make required payments on time;

  • Attend scheduled appointments;

  • Follow reasonable instructions necessary to complete the project;

  • Obtain necessary permissions and releases; and

  • Treat YAK Productions LLC personnel and contractors professionally and respectfully.

24. INDEPENDENT CONTRACTORS

YAK Productions LLC may use employees, independent contractors, second shooters, assistants, editors, designers, photographers, videographers, or other professionals to assist with providing services.

YAK Productions LLC remains responsible for coordinating services provided under the Client's agreement unless otherwise stated.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, YAK Productions LLC's total liability arising from a service will be limited to the amount actually paid by the Client for the specific service giving rise to the claim.

YAK Productions LLC will not be liable for indirect, incidental, consequential, special, or punitive damages to the extent permitted by law.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

26. INDEMNIFICATION

To the extent permitted by law, the Client agrees to indemnify and hold harmless YAK Productions LLC and its owners, employees, contractors, and representatives from claims, damages, losses, liabilities, and expenses arising from:

  • Client-provided materials;

  • Client's breach of these Terms;

  • Client's violation of another person's rights;

  • Client's unlawful use of the services or deliverables; or

  • Claims resulting from information or materials supplied by the Client.

27. DISPUTES

The parties agree to first attempt to resolve disputes through good-faith communication.

If a dispute cannot be resolved informally, the parties may pursue any remedies available under applicable California law.

Nothing in these Terms prevents either party from exercising rights or remedies that cannot legally be waived.

28. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict-of-law principles.

29. CHANGES TO THESE TERMS

YAK Productions LLC reserves the right to update these Terms from time to time.

Updated Terms will become effective when posted or otherwise provided to Clients.

Changes will not retroactively modify a separate written agreement unless permitted by that agreement or agreed upon by the parties.

30. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

31. ENTIRE AGREEMENT

These Terms, together with any applicable proposal, invoice, booking confirmation, package description, service agreement, NDA, or other written agreement between YAK Productions LLC and the Client, constitute the agreement between the parties regarding the applicable services.

32. ELECTRONIC ACCEPTANCE

By booking a service, submitting payment, signing an agreement electronically, checking an acceptance box, or otherwise proceeding with services after being provided these Terms, the Client acknowledges that they have read, understood, and agreed to these Terms of Service.

Electronic acceptance shall have the same effect as a handwritten signature to the extent permitted by applicable law.
